As part of the negotiated crisis resolution procedure initiated on March 1, 2026 and designated by INEG Nos. 0000008168, 0000008111, and 0000008220, respectively, Tessellis S.p.A. (“Tessellis”), Tiscali Italia S.p.A. (“Tiscali”), and GO Internet S.p.A. (“GO Internet”), under the supervision of the Expert appointed on March 12, 2026, Attorney Massimo Zappalà (the “Expert”), have launched a competitive procedure aimed at: (I) the lease/license and subsequent purchase of the B2C business unit and the Web-mail business unit of Tiscali (respectively the “B2C Business Unit” and the “Web-mail Business Unit”), as well as the trademarks owned by Tessellis (the “Trademarks” and together with the B2C Business Unit and the Web-mail Business Unit, the “Perimeter A”); and/or (II) the purchase of the HVB business unit of Tiscali, including the datacenter and the shareholding held in Aetherna S.r.l., the B2B business unit of Go Internet, including the shareholding held in X-Stream S.r.l. (the “Perimeter B”); and/or (III) the purchase of GO Internet’s B2B business unit, including the stake held in X-Stream S.r.l., and Tiscali’s stake in Aetherna S.r.l. (the “Perimeter B.1”); and/or (IV) the purchase of Tiscali’s HVB business unit, including the data center (the “Perimeter B.2”); or (V) the lease/license and subsequent purchase of Perimeter A together with the purchase of Perimeter B (the “Perimeter C”).
Therefore, improved irrevocable offers are required by 11:59 PM on April 30, 2026.
Irrevocable offers:
– If referring to Perimeter A or Perimeter C, they must include (i) a commitment to lease/license the B2C Business Unit, the Web-mail Business Unit, and the Brands, for a monthly fee of €333,000.00 (three hundred and thirty-three thousand/00) for the first 12 (twelve) months and €200,000.00 (two hundred thousand/00) for the following 3 (three) months; (ii) an inseparable commitment to purchase Perimeter A, with an indication of the price offered for the stipulation of the relevant sales contract, in an amount greater than €27,000,000.00 (twenty-seven million/00); as well as (iii) the clauses relating to potential increases in the purchase price of Perimeter A provided for in the Binding Offer (i) for the reduction of FTE resources and (ii) where the sale of Perimeter A is carried out through the simultaneous contribution in kind of such assets – by Tiscali and Tessellis – to a newly established limited liability company and the sale to the offeror of the entire share capital of that company;
– if formulated in relation to Perimeter B or Perimeter C, they must include a commitment to purchase Perimeter B, with an indication of the price offered for the stipulation of the sale and purchase agreement, in an amount greater than Euro 6,000,000.00 (six million/00), in Euros;
– If formulated in relation to Perimeter B.1, they must include a commitment to purchase Perimeter B.1, indicating the price offered for the signing of the sales contract, in an amount exceeding €4,000,000.00 (four million euros);
– If formulated in relation to Perimeter B.2, they must include a commitment to purchase Perimeter B.2, indicating the price offered for the signing of the sales contract, in an amount exceeding €2,000,000.00 (two million euros).
